Non-Filing Entities

LLCs

The LLC is the most common structure for closely held businesses in Texas. S-Corporations & C-Corporations

• Capital plans: Businesses planning to raise venture capital typically need a C-corporation structure to meet investor expectations.
• Administrative requirements: Filing entities require a registered agent with a physical Texas address, a certificate of formation on file with the Texas Secretary of State, and annual franchise tax filings with the Texas Comptroller.
